Welcome to Find and Seek. These Terms of Service ("Terms") govern your access to and use of the Find and Seek cloud Software-as-a-Service platform, website, and control plane (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
1. B2B Commercial Purpose Warranty
You expressly represent and warrant that you access and use the Service exclusively for professional, business, organisational, or commercial purposes. The Service is supplied on a business-to-business (B2B) commercial basis. You acknowledge that you are acquiring access to the Service for use in trade, commerce, or enterprise operations.
2. Cloud SaaS Architecture & Ephemeral Processing
Find and Seek operates as a cloud-hosted software platform utilising multi-provider large language model (LLM) routing, indexing, optical character recognition (OCR), and document intelligence. When you execute queries or analyze files through the Service, your query and document data ("Payloads") are routed ephemerally through volatile memory to third-party model inference providers solely for immediate task execution. We do not retain, store, aggregate, or train on your customer document payloads.
3. APP 8 Overseas Transfer Consent & s 16C Vicarious Liability Waiver
To provide cloud features, request Payloads are transmitted to vetted third-party model providers located outside of Australia (predominantly in the United States, Singapore, and global edge networks). By using the Service, you expressly consent to the disclosure of personal information and Payloads to overseas recipients as described in our Privacy Policy, pursuant to APP 8.1(a) of the Privacy Act 1988 (Cth). You expressly acknowledge and agree that:
- Find and Seek takes reasonable steps to ensure overseas sub-processors process data securely under strict 0-day payload retention commitments;
- if an overseas recipient breaches the APPs or experiences a security incident, Find and Seek will not be liable for that breach solely by virtue of having disclosed data to that recipient; and
- you explicitly waive any vicarious liability that might otherwise arise under Section 16C of the Privacy Act 1988 (Cth) in respect of acts or practices of those overseas recipients.
Overseas processors include OpenRouter, OpenAI, Anthropic, DeepSeek, Qwen/Alibaba Cloud, Vercel, Stripe, PostHog, and Resend.
4. AI Outputs, Verification & Complete Risk Transfer
4.1 Provided "As Is": AI model outputs, triage cards, summarisations, OCR text, and citations generated by the Service are provided strictly on an "As Is" and "As Available" basis. AI models may produce inaccurate, incomplete, misleading, or unexpected output ("hallucinations").
4.2 Independent Duty to Verify: You are solely and entirely responsible for evaluating, checking, and validating the accuracy, factual correctness, and legal appropriateness of all AI outputs before relying on, publishing, distributing, or acting on them.
4.3 100% Risk Transfer: You assume 100% of the risk resulting from your reliance on or publication of AI outputs. Find and Seek has no liability for any loss, legal claim, defamation action, or damage arising from inaccurate or hallucinated outputs.
4.4 No Legal, Financial, or Professional Advice: AI outputs do not constitute legal, medical, financial, or professional advice. Always seek independent qualified advice.
5. In-App Cancellation, Billing & 28-Day Data Purge Schedule
Access to Control Plane features or credit allocations is provided on a recurring subscription or top-up credit pass basis in Australian Dollars (AUD) via Stripe.
- In-App 1-Click Cancellation: You may cancel your recurring subscription at any time directly within the application Preferences / Account Settings menu with a single click. No phone calls or support tickets are required.
- Run-Out Period: Cancellations take effect at the end of the current paid billing cycle. You retain full access to your subscription tier until the end of the current prepaid period.
- 28-Day Control Plane Data Purge: Upon account cancellation or account deletion request, all user account profile data, control plane settings, and cloud telemetry tied to your account are queued for permanent deletion and completely purged from our control plane databases within twenty-eight (28) days.
- Statutory Retention Exception: Tax invoices, transaction IDs, and billing receipts are retained exclusively to comply with statutory tax record-keeping requirements (e.g. ATO 5-year requirement under Australian tax law).
6. Acceptable Use Restrictions
You must not, and must not authorise any third party to:
- Decompile, reverse engineer, or extract model weights or API routing logic from the Service.
- Perform prompt injection attacks, automated scraping, or unauthorized API key harvesting against Control Plane endpoints.
- Use the Service to process unlawful, defamatory, infringing, or unauthorized material.
- Bypass security controls, usage quotas, or rate limits.
7. Australian Consumer Law (ACL) s 64A Limitations
Our goods and services come with statutory guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). If a consumer guarantee applies to your use of the Service, our liability for a breach of a non-excludable statutory guarantee is limited, under section 64A of the ACL, at our option, to:
- In the case of goods: replacing the software/goods, supplying equivalent goods, or paying the cost of replacing or acquiring equivalent goods; and
- In the case of services: supplying the services again, or paying the cost of having the services supplied again.
8. Hard Financial Liability Ceiling ($100 AUD Cap)
To the maximum extent permitted by Australian law, in no event shall Find and Seek, its developer, operator, directors, officers, or employees be liable for any indirect, incidental, consequential, special, statutory, or punitive damages, or any loss of profits, revenue, data, or business interruption.
Hard Financial Cap: In all circumstances, Find and Seek's total cumulative aggregate liability for all claims arising out of or related to the Service (whether in contract, tort, negligence, strict liability, statutory breach, or under indemnity) shall be strictly capped at the lesser of: (a) $100.00 AUD; or (b) the total subscription fees actually paid by you to Find and Seek in the twelve (12) months preceding the claim.
9. User Indemnity
You agree to defend, indemnify, and hold harmless Find and Seek, its operator, officers, and employees from and against any claims, liabilities, losses, damages, costs, and legal fees arising out of or related to: (a) your breach of these Terms or your B2B warranty; (b) your transmission of Payloads to third-party providers; (c) your reliance on or publication of AI outputs; or (d) your processing of infringing or unauthorized content.
10. Pre-Litigation Dispute Resolution & Jurisdiction
Informal Resolution: Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through informal negotiation by providing written notice to support@findandseek.app and allowing a 30-day negotiation window.
Governing Law: These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
